Article 1 (Purpose)

These Terms of Use set forth the rights, obligations, and responsibilities of Samsung Electronics Co., Ltd. (hereinafter referred to as 'Samsung Electronics') and the User with respect to the use of procurement-related services (hereinafter collectively referred to as 'Service') provided in the Supplier Portal website operated by Samsung Electronics.

Article 2 (Definition)

  1. 1. 'Supplier Portal' means a B2B partner system operated by Samsung Electronics. Supplier Portal provides Single Sign-on function and related services.
  2. 2. 'User' means a member who receives the Services provided by Supplier Portal in accordance with these Terms of Use by accessing Supplier Portal.
  3. 3. 'Member' refers to an individual who has provided his/her personal information to Supplier Portal and who can constantly receive Supplier Portal information and continue to use the Services provided by Supplier Portal.
  4. 4. 'Dormant Member' pertains to a member who has no login record for three consecutive months since his/her final login to the Services provided by Supplier Portal.

Article 3 (Notice, Explanation, and Amendment of the Terms of Use)

  1. 1. Samsung Electronics posts the contents of these Terms of Use on the initial page of the Supplier Portal for their easy identification by the User; note, however, that the details of the Terms of Use shall be accessed by the User through the connecting screen.
  2. 2. In case Supplier Portal amends the Terms of Use, it shall post the effective date and reasons for amendment along with the current Terms of Use on the initial page of the Supplier Portal starting from seven (7) days before the effective date to the day before the effective date.
    Notwithstanding the foregoing, any and all amendments to the Terms of Use prejudicial to the User shall be posted at least thirty (30) days in advance. In such case, Supplier Portal shall specifically compare the pre- and post-amendment details for the User's easy identification of the difference.
  3. 3. In case Supplier Portal amends the Terms of Use, such amendment shall be applied to contracts made on or after the adoption of the amendment but not to the pre-existing contracts, which are governed by the provisions of Terms of Use applicable before the amendment.
    Notwithstanding the foregoing, the provisions of the amendment shall be applied in case Supplier Portal obtains the existing Users' consent to the application of the amended Terms of Use within the period stipulated in Section 2.
  4. 4. In case the Member does not consent to the application of the amended Terms of Use, the provisions of such amendment shall not be applied, and the Member may terminate the contract. Notwithstanding the foregoing, in case the existing Terms of Use cannot be applied for special reasons, Samsung Electronics may terminate the contract.
  5. 5. Matters other than those provided in these Terms of Use and the interpretation of these Terms of Use shall be governed by the Act on Consumer Protection in Electronic Commerce Transactions, Etc.
    Regulation on Standardized Contracts Act, Guideline for Consumer Protection in Electronic Commerce Transactions stipulated by the Fair Trade Commission, and relevant laws and regulations or commercial practices.

Article 4 (Provision and Change of Service)

  1. 1.
    Supplier Portal shall perform the following operations:
    ① New application for Single sign-on ID
    ② Renewal of Single sign-on ID
    ③ Samsung Electronics Supplier Portal System Single sign-on
    ④ Other functions defined in Supplier Portal
  2. 2. The Service provided through Supplier Portal may be changed according to Samsung Electronics circumstances, and no separate compensation will be given to Users unless otherwise specified in relevant laws and regulations.
    In addition, if the service content is changed, a "manual" for the changed function will be provided using the Help Desk menu.

Article 5 (Suspension of Service)

  1. 1. In case of repair and check, replacement or failure of information/communication equipment such as computer, or communication disconnection, Supplier Portal may temporarily suspend the Service.
  2. 2. Samsung Electronics shall not provide any separate compensation to Users for the suspension of Services under paragraph 1, unless otherwise specified in relevant laws and regulations.
  3. 3. In cases where it becomes impossible to permanently provide Services due to system disposal or other reasons, Samsung Electronics will notify users in the manner prescribed in Article 8.

Article 6 (Application for Membership)

  1. 1. The User applies for membership by filling out the member information according to the subscription form set in Supplier Portal and expressing their intention to agree to these terms and conditions.
  2. 2.
    Samsung Electronics registers as a member unless the user who applied for membership falls under any of the following subparagraphs.
    ① If the applicant has previously lost his/her membership pursuant to Article 7 of this Agreement
    ② applicants that have failed to provide their real name, email address, and phone number
    ③ in case there is false information or omission in the application details.
  3. 3. Membership will be established when the approval from the person in charge of handling Supplier Portal membership task is completed.

Article 7 (Membership Termination and Disqualification)

  1. 1.
    Disqualification of Membership in Supplier Portal may be made through Supplier Portal system in following cases :
    ① Falsification of registration information on membership application
    ② Disrupt other users’ service operations or steal their information
    ③ Act against the terms and laws or violate public order and good morals
  2. 2. Members can request to terminate membership from Samsung Electronics at any time, and Samsung Electronics will proceed with the termination process immediately upon receiving the request.
  3. 3. A Vendor that has multiple IDs through its employees must delete the ID of the employee who leaves the company through the administrator.
    If information about the vendor or Samsung Electronics are leaked to a third party due to negligence in managing the ID, all responsibility for this lies with the relevant vendor.

Article 8 (Notice to Member)

  1. 1. Any notice to Members by Supplier Portal may be sent to the e-mail address designated based on mutual agreement between the Members and Supplier Portal.
  2. 2. Samsung Electronics may replace individual notices by posting a pop-up notice of Supplier Portal for more than one week in case of notification to unspecified members.

Article 9 (Protection of Personal Information)

  1. 1. Supplier Portal values personal information and strives to handle it in the safest way possible, in accordance with its privacy policy.
  2. 2. Please refer to the initial screen of Supplier Portal for the privacy policy.

Article 10 (Obligations of Supplier Portal)

  1. 1. Supplier Portal shall neither commit any act prohibited by laws and regulations and these Terms of Use nor violate public customs but shall make every effort to provide the Services constantly and stably in accordance with these Terms of Use.
  2. 2. Supplier Portal shall prepare its security system for protecting the personal information of the User (including credit information) for the User's safe use of internet service.
  3. 3. Supplier Portal shall not send any advertisement for commercial purposes against the will of the User.

Article 11 (Obligations of the Member Regarding the ID and Password)

  1. 1. In principle, the responsibilities for the management of ID and password shall be borne by the Member.
  2. 2. The Member shall not permit a third party to use his/her ID and password.
  3. 3. In case the Member discovers that his/her ID and password have been stolen or used illegally by a third party, he/she shall report such fact and follow Supplier Portal's instruction, if any.

Article 12 (Obligations of the User)

The User shall not commit the following acts :

  1. ① Register false information in application or amendment
    ② Change of information posted in Supplier Portal
    ③ Transmission or posting of information (such as computer program, etc.) other than those specified by Supplier Portal
    ④ Infringement of intellectual property rights such as copyrights of Supplier Portal or a third party
    ⑤ Any act defamatory to Supplier Portal or a third party or disruptive to its operations
    ⑥ Leaking information or posting information in violation of the security policy of Supplier Portal

Article 13 (Ownership and Limitation of Copyrights)

  1. 1. The copyright or all other intellectual property rights to any work made by Supplier Portal shall be owned by Supplier Portal.
  2. 2. The User shall neither use the information obtained during the use of the Service nor cause a third party to use such information for commercial purposes by means of reproduction, transmission, publication, distribution, broadcasting, or other methods without prior approval from Supplier Portal.
  3. 3. When intending to use information belonging to the User in accordance with the Terms of Use, Supplier Portal shall notify the applicable User accordingly.

Article 14 (Exemption from Liability)

  1. 1. Samsung Electronics shall not be liable for any loss or damage caused to Users by their failure to obtain expected profits through the use of the Service or by using materials obtained through the Service.
  2. 2. Samsung Electronics does not provide any guarantee as to the accuracy or reliability of information or data on its website. Therefore, please do not make investment decisions based on such information or data.
  3. 3. Samsung Electronics provides various links according to its own criteria for the convenience of obtaining information for Users. However, Samsung Electronics does not guarantee the accuracy or reliability of the linked sites and assumes no legal responsibility in this regard. Each link site should be used efficiently at your discretion.
  4. 4. The accuracy and reliability of information, data, facts, etc., posted on the screen by users shall be the responsibility of the relevant user, and Samsung Electronics shall not be liable for any damages caused to users or third parties due to incorrect or false content.
  5. 5. Samsung Electronics shall not be liable for any damage caused by intentional or negligent acts of users or third parties in connection with the use of the service.

Article 15 (Dispute Resolution)

  1. 1. Samsung Electronics may reflect legitimate opinions or complaints raised by users but does not provide separate compensation.
  2. 2. Samsung Electronics will prioritize handling any complaints or comments submitted from users.
  3. 3. Disputes related to the use of Supplier Portal shall be governed by the law of the Republic of Korea, and lawsuits resulting from such disputes shall be filed in a court of competent jurisdiction under the Civil Procedure Act in Korea.
Supplementary provision
- This Terms of Use is effective from 6 January 2025.
